Terms in
Full Detail

DataGators provides web data extraction, data scraping, and market intelligence services as agreed in writing at the time of each order. The scope, format, fields, volume, schedule, and price of each delivery are confirmed via a written order confirmation or statement of work. These Terms apply to all such orders unless superseded by a separately signed master services agreement.
Subject to payment, DataGators grants you a non-exclusive, non-transferable licence to use the delivered data for your internal business purposes. You may not resell, sublicence, or redistribute the raw data to third parties without DataGators' prior written consent. Where redistribution rights are agreed, they will be documented in a separate data licence addendum.
Invoices are due within 14 days of the invoice date unless otherwise agreed in writing. For new clients, DataGators may require full or partial payment in advance. Late payments accrue interest at 8% above the Bank of England base rate per the Late Payment of Commercial Debts Act 1998. DataGators reserves the right to suspend or withhold data delivery for accounts with outstanding overdue invoices.
Orders may be cancelled before work commences for a full refund. Once data extraction has begun, cancellations are subject to a pro-rated charge for work completed. If a delivered dataset materially fails to meet the agreed specification, DataGators will re-deliver at no charge or provide a proportional refund at its discretion. Change requests after work commences may incur additional charges.
DataGators warrants that data is extracted from publicly available sources at the time of collection and is delivered in the format agreed. DataGators does not warrant that source websites are accurate, complete, or free from error, and is not liable for inaccuracies in underlying source data. You acknowledge that web data reflects source content at the moment of extraction and may change thereafter.
To the maximum extent permitted by law, DataGators' total liability to you under or in connection with any order shall not exceed the fees paid for that order. DataGators shall not be liable for indirect, consequential, special, or punitive damages including lost profits, lost revenue, or loss of data, even if advised of the possibility of such damages. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.
DataGators retains all intellectual property in its extraction methodology, software, and processes. The delivered data, once paid for, is licensed to you as set out in Section 2. DataGators makes no claim to ownership of the underlying source data, which remains the property of its respective owners.
Both parties agree to keep confidential any proprietary information of the other party disclosed in connection with an order, and not to disclose such information to third parties without prior written consent, except as required by law. This obligation survives termination of the agreement.
These Terms and any disputes arising from them are governed by the law of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer or mandatory local law provides otherwise.
